“UPC-Wow! Pay” Cash Card Program Express Understanding & Agreement Regarding Elective Distributions To Individual UPC-Wow! Cards I. Acknowledgements. Individual (also known as “Elector”) hereby expressly acknowledges that Individual voluntarily wishes to enroll in and use the Wow! Pay Card Program as a means for Individual to electively, at the Individual’s sole discretion and voluntary option, receive monies deposited directly from Individual’s employer and/or other third parties onto Individual’s Wow! Card, pursuant to Individual’s request and on behalf of Individual. Individual understands and acknowledges that Wow! Technologies, Inc. (“WOW”) is not a payroll processor, check casher, bank, banking business, pay day loan business, or other similar business, nor will WOW provide such services. Rather, WOW simply offers a stored value card-based program which allows consumers, including Individual, to receive monies on their individual Wow! Card including electronically through the Automated clearing house (“ACH”) as an alternative to receiving paper checks from employers, and thereafter make purchases, etc., via the global computer network at various ATM, Point of Sale (“POS”), and retail locations. II. Express Understanding of Individual. Individual understand and expressly agrees that to the extent that Individual may elect to have a third party (including Individual’s employer) direct, on behalf of Individual, monies to be distributed to Individual’s Wow! Card, WOW will provide products and services solely related to accommodating such distributions to Individual’s Card from third parties, but only with the express understanding that Individual is voluntarily electing and directing that such distributions be made, in accordance with this Understanding, the Wow! Card Program, Wow! Card Holder Agreement and Wow! Card fees structure, the preceding of which each and every term are incorporated as thought fully set forth herein. It is specifically understood and agreed by Individual that WOW does not currently, and will not, engage in any: payroll processing pay day loaning; cash advancing; banking; check cashing; tax, medical or health benefits transfers/withholdings; or other similar business transactions with or for Individual, Individual’s Employer or any other third party. Any transactions or services such as the preceding, as may be needed by Individual, will be provided solely by Individual, Individual’s employer or other third parties, as may be elected by Individual and/or Individual’s employer or other third party at Individual’s and their direction, before any prospective funds may be distributed to Individual’s Wow! Card. Rather, WOW’s products and services simply constitute a destination to which Individual may elect to have third parties direct funds. Individual agrees and acknowledges that WOW is not Individual’s Employer’s, or any other third party’s, agent of any kind whatsoever. III. Limited Liability & Indemnification. Individual agrees that WOW and Sponsor Bank shall not be liable for any damages whatsoever related to any claims, disputes or actions involving wages, hour, back pay, tax, healthcare, disability, benefits, social security, payments, withholding, distribution, vesting, eligibility, or any other similar transactions, calculations, distributions or related transfers to or on behalf of Individual. Further, Individual agrees that WOW and Sponsor Bank shall not be liable for any damages whatsoever related to any transactions, distributions or transfers involving Individual and Individual’s Employer(s), other than as outlined in the Wow! Card Holder Agreement, and the terms of use located therein, each and every term of which, by reference, is incorporated as though fully set forth herein. As such, Individual hereby forever waives, releases, and agrees to indemnify, save and hold WOW harmless from, any and all claims, disputes and actions of any kind whatsoever which may arise or stem from or out of, or relate to, the transactions, services, errors, omissions, actions, or failures to act, of Individual’s employer and/or any involved third parties other than WOW. The preceding shall specifically include, but is not limited to: claims of any kind involving or related to payroll processing; pay day loans; check cashing; actual banking; interest; requests for back pay, overtime or unpaid wages; worker’s compensation; and any other claims for employment-related benefits whatsoever; as well as any and all claims involving, without limitation, errors, omissions and failures to act by Employer, Employer bankruptcy; Employer business improprieties, fraud, misrepresentation, conspiracies, conversion, unjust enrichment, constructive trust, or similar civil or criminal claims, causes of action or allegations; breach of employment contract, Employer negligence or other tort; and any requests for attorneys fees, exemplary and/or punitive damages related thereto. Further, in order to participate in the Wow! Pay Card Program, and in exchange for its benefits, Individual hereby acknowledges and agrees that Individual will be charged certain fees in exchange for the services provided by WOW and featured in the Wow! Pay Card Program, as per the fee schedule contained in the Wow! Card Holder Agreement and the Wow! Cash Card Program, the terms of which have been made available to Individual and are specifically incorporated herein. As such, Individual hereby forever waives and releases WOW from any and all claims of any kind whatsoever related to the general charging of service fees, and specifically the permissibility thereof, in exchange for the capability of engaging in transactions via the WOW stored value card and/or accessing Individual’s monies thereon. IV. Authorization. By signing below, I hereby authorize Unlimited Profits.Com, Inc. (hereinafter “Company”), to initiate payroll and/or other compensation-related credit and debit entries from time to time, by electronic money transfers through the automated clearing house (“ACH”), to me via my Wow! Cash Card stored value card account identified below and established by card issuer Sponsor Bank, and to credit such entries to the balance on my Wow! Cash Card stored value account identified below, and to share such payment, employment and identification related information as necessary so as to effectuate the same. This authorization shall be deemed valid and operate in full force and effect until I adequately deliver to Company a written notice of termination in such a time and manner so as to afford Company, WOW and Sponsor Bank a reasonable opportunity to act upon such notice. Company shall retain this authorization form for no less than two (2) years from the date set forth below, shall provide promptly a copy of this form to Individual and WOW, and shall provide a copy of the same to Sponsor Bank and WOW upon any request by Sponsor Bank or WOW to do so, and in compliance with state and federal laws and law enforcement orders/requests regarding same.
